1. Agreement
These Terms and Conditions ("Terms") govern your access to and use of AlphaCreek's websites, Model Context Protocol ("MCP") server, APIs, documentation, and related services (collectively, the "Service") provided by AlphaCreek ("AlphaCreek," "we," or "us"). By creating an account, connecting an MCP client, or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.
2. Description of the Service
The Service helps you search and retrieve excerpts and structured references from U.S. SEC public company filings and related public materials (for example, periodic reports such as 10-K and 10-Q filings). The Service is retrieval infrastructure: it does not provide brokerage, custody, order routing, or personalized investment recommendations. Features, coverage, and availability may change over time.
3. License and acceptable use
Subject to these Terms and your compliance with them, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business or personal research purposes in accordance with your subscription or access level.
You agree not to:
Use the Service in violation of law or third-party rights;
Probe, scan, or test the vulnerability of the Service, or circumvent or exceed authorized access, rate limits, quotas, or technical measures we employ;
Copy, resell, sublicense, or redistribute the Service or its outputs as a standalone data product where such use is not expressly permitted in writing;
Reverse engineer, decompile, or disassemble any non-open portion of the Service except where applicable law prohibits this restriction;
Use the Service to build a competing retrieval product or to train generalized foundation models on our proprietary indexes or software, except as we expressly authorize in writing.
4. Third-party AI clients and model providers
You may connect third-party LLM clients or agent platforms to our MCP server. You are solely responsible for your configuration of those tools, the prompts you submit, and compliance with those providers' terms. AlphaCreek is not responsible for outputs generated by third-party models or for how those providers process your data.
5. SEC data and third-party sources
Filings and related materials originate from public regulatory sources (including the SEC's EDGAR system). AlphaCreek does not warrant that data is complete, error-free, timely, or suitable for any particular purpose. You remain responsible for verifying information against the official filing and for complying with applicable SEC, EDGAR, and copyright rules when using or redistributing retrieved content.
6. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, ALPHACREEK DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.
7. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL ALPHACREEK OR ITS SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE IN ANY TWELVE-MONTH PERIOD WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THAT PERIOD OR (B) ONE HUNDRED U.S. DOLLARS (US $100), IF YOU HAVE NOT PAID US. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS; IN THOSE CASES, THESE LIMITATIONS APPLY TO THE FULLEST EXTENT PERMITTED BY LAW.
8. Not investment advice
The Service facilitates access to public regulatory disclosures. Nothing provided through the Service is investment, legal, tax, or accounting advice. You should consult qualified professionals before making financial or business decisions. AlphaCreek is not a fiduciary and is not responsible for trading or investment losses.
9. Accounts and registration
You must provide accurate, current information during registration, including your email address, first name, and last name, and you must keep that information up to date. You are responsible for safeguarding your credentials and for all activity under your account. Notify us promptly of unauthorized use.
10. Intellectual property
AlphaCreek and its licensors retain all rights in the Service, including software, indexes, branding, and documentation. Except for the limited license in Section 3, no rights are granted to you. Public filing text remains subject to the rights and restrictions of the filing company and applicable regulators.
11. Suspension and termination
We may suspend or terminate access to the Service if you materially breach these Terms, create risk or possible legal exposure, or if we discontinue the Service. You may stop using the Service at any time. Provisions that by their nature should survive (including disclaimers, limitations, and indemnities) will survive termination.
12. Indemnity
You will defend, indemnify, and hold harmless AlphaCreek and its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of your use of the Service, your violation of these Terms, or your violation of third-party rights.
13. Changes to the Terms
We may modify these Terms from time to time. We will post the updated Terms on this page and update the "Last updated" date. If changes are material, we will provide additional notice where appropriate (for example, by email or in-product notice). Your continued use after the effective date constitutes acceptance of the revised Terms.
14. General
These Terms constitute the entire agreement between you and AlphaCreek regarding the Service and supersede any prior agreements on the same subject. If any provision is unenforceable, the remaining provisions remain in effect. Failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
